As tenants begin the lease negotiation process, each of the parties MUST strive to incorporate language that will protect themselves in the event of any change of circumstances, i.e., fire or other natural disaster or even the sale of the premises. The person you negotiate with now may not be the person you will be dealing with a year down the road.

You should always beware of the "Standard Form Lease."

A lease is a contract, just like any other contract. It is similar to a partnership agreement in that it sets out the parameters of a business relationship. When everything goes as planned, most leases will serve the parties well; however, the true test occurs when there are "hiccups" in the relationship. If the lease has not been carefully drafted, a "hiccup" can become a major problem for one or all parties. Remember, the "Standard Form Lease" typically inures to the benefit of the landlord.

"Starting out right" in the beginning of lease negotiation is imperative. When issues arise late in the negotiation process, the landlord will often feel that the tenant is attempting to renegotiate the deal and is hesitant to make any change that is detrimental to his position.

There are so many things to consider before entering into a lease. A few are listed below:

  • Should you incorporate prior to the signing of the lease
  • Annual Lease increases
  • Rent abatement and set-off in the event that services are not delivered timely
  • Relocation within the lease term
  • Construction delays
  • Square footage
  • Limitation of liability
